Franchise Law. As a franchise attorney, Jeff Wheelock regularly represents franchisors: creating their FDD (Franchise Disclosure Document), crafting and drafting their franchise agreement and related agreements, ensuring additional state law compliance, and protecting their intellectual property by obtaining trademarks and establishing valid confidentiality agreements. He also regularly represents franchisees: reviewing and explaining FDD’s, negotiating franchise agreements, and helping them to buy/sell existing franchises.
General Counsel Work. Jeff currently serves as outside General Counsel to a number of companies in a variety of industries, ranging from software development to restaurant operations to robotic engineering. His work for these clients includes: contract negotiation and drafting; corporate governance; loans and liens; mergers and acquisitions; employment law matters; and arbitration and litigation.
Litigation. Jeff has 27 years of experience in litigation. His cases have involved: franchising and licensing; banking-related matters employment issues; breach of contract; and a wide array of other types of commercial disputes. He has also handled appeals in both the state and federal courts. Jeff has also served as an arbitrator (for the NASD), a mediator and a court-appointed guardian ad litem. While he is ready, willing and able to represent clients in court, Jeff is also keenly aware that litigation is expensive, and does not get cheaper as the fight drags out. Jeff prefers to use his extensive litigation experience to keep his clients out of litigation in the first place.
